- Note: Corporate Governance is the overall system by which business corporations are directed and controlled, including rights and responsibilities of various stakeholders and rules and procedures for decision-making. This course examines corporate governance from the point of view of the board of directors, the group within the corporate governance system that is empowered with oversight responsibilities for the corporation-including strategy, performance, and compliance with laws, rules, and customs. Students will gain insight into the challenges involved in achieving alignment and balance among a complex array of external and internal considerations, and will develop an understanding of key issues that boards and corporations face today.
